Leadership Structure

Board of Directors

The governing body of ICF shall be the Board of Directors. The responsibility for overseeing the management of the affairs, funds, and property of the ICF shall be vested in its Board of Directors. The Board of Directors shall have full power and authority to put into effect the resolutions and decisions of the ICF and shall determine its policies and interpret these Bylaws. The Board shall supervise the direction and control of the ICF and its committees and publications, and may adopt such rules and regulations for the conduct of its business as shall be deemed advisable. It may in the execution of its powers, delegate certain of its authority to the Executive Committee.

Term of Office and Manner of Election

Directors at large shall serve for a term of three (3) years or until their successors have been elected and assume office. The immediate past president shall serve a term of one year or until their successors have been elected and assume office. One third of the Directors-at-Large shall be elected each year. Directors at large are required to be a regular member. 


Officers

The officers of ICF shall be a president, a president-elect, three (3) vice presidents, a secretary/treasurer. The president and president-elect are elected by the membership; the other officers are selected from the eligible Board of Directors members and serve until their successors have been duly elected and assume office. The president-elect shall automatically succeed to the presidency.

Qualifications of Office

Any credentialed member in good standing shall be eligible for nomination and election to any officer's position of ICF, provided the member shall have served at least one (1) year as a member of the Board of Directors at any time prior to an elective term of office.

Nomination and Election

The Nominating committee shall prepare and submit to the membership a nomination for president-elect, and vacant Directors' position. Any person so nominated shall have given prior consent to nomination and election as an officer.

Term of Office

Each officer shall take office on the first date of the calendar year and shall serve for a term of one (1) year or until a successor is duly elected and qualified. Each officer shall serve concurrently as a member of the Board of Directors and as a member of the Executive Committee.

Committees/Taskforces

The president unless otherwise specified in the Bylaws, shall be empowered to appoint the chairpersons of all committees, and the chairpersons and members of all special committees, subject to the approval of the Board of Directors. The president shall be an ex-officio member of all committees.
